Discussing company law nowadays, it is difficult, if not impossible, not to face some kind of law and economics arguments. Consider, for example, the duties of the board members: Can you find a book or an article on them without clearer or vaguer reflections with concepts of principals and agency and, at the end of the day, discussion of the company interest without raising the question of »shareholder value«?¹
